TERMS OF SERVICE — Flow Theory

These Terms of Service (“Terms”) govern your access to and use of the services, software, website, and AI tools provided by Flow Theory (“Company,” “we,” “our,” or “us”), located at:

By accessing or using FlowTheory.io or any Flow Theory services, you agree to these Terms. If you do not agree, do not use our services.
1. Eligibility
Our services are intended only for businesses that are approved clients of Flow Theory.
You must:
Be at least 18 years old
Have authority to bind your business to this agreement
Use the services only for lawful business purposes
We reserve the right to approve or reject any client at our sole discretion.
2. Description of Services
Flow Theory provides business automation and AI-enabled services, including but not limited to:
AI automation solutions
AI chatbot and workflow systems
Marketing and operational automation setup
Services may include subscription software access, implementation/setup services, and custom configurations.
We may modify, update, or discontinue any feature or service at any time without liability.
3. Accounts & Access
You are responsible for:
Maintaining confidentiality of login credentials
Ensuring all account activity complies with these Terms
Not sharing access without permission
We may suspend or terminate access if misuse is suspected.
4. Payment Terms
4.1 Fees
Flow Theory services may include:
Monthly subscription fees
One-time setup/implementation fees
Custom pricing based on selected services
Optional free trial periods
All fees are due as specified in your service agreement or invoice.
4.2 Late Payments
If payment is overdue by 7 days, we may:
Suspend account access
Disable services
Terminate the agreement
without further notice.
4.3 Refunds
Refunds are not guaranteed and are:
Typically not provided
Reviewed case-by-case at our sole discretion
Setup fees and completed service work are non-refundable.
5. Client Responsibilities & Acceptable Use
You agree NOT to:
Use the services for unlawful purposes
Generate harmful, fraudulent, abusive, or illegal AI outputs
Attempt to reverse engineer or copy the platform
Resell, sublicense, or redistribute services without written permission
Upload or process content you do not have rights to use
You are solely responsible for:
Reviewing and verifying AI-generated outputs
Ensuring compliance with applicable laws and regulations
Any decisions made using AI-generated information
AI outputs are tools only and not professional advice.
6. Intellectual Property
6.1 Company Property
All platform software, systems, branding, automation methods, and technology remain exclusive property of Flow Theory.
No ownership rights transfer to clients.
6.2 Client Data
You retain ownership of:
Your business data
Uploaded content
Customer information
You grant Flow Theory a limited license to use this data only to provide services.
6.3 AI Outputs
Clients may use generated AI outputs for their business purposes.
However, Flow Theory retains the right to:
Improve systems
Maintain operational analytics
Enhance service quality
We do not claim ownership of your business materials, but reserve rights necessary to operate and improve the platform.
7. Marketing & Testimonials
You grant Flow Theory permission to:
Display your company name, logo, and testimonials
Reference your business as a client
Use anonymized case studies or results
If you wish to opt out, you must request this in writing.
8. Data Retention & Deletion
After cancellation:
We may retain client data for up to 14 days
After that, data may be permanently deleted
Earlier deletion may be requested but is not guaranteed
You are responsible for exporting any needed data before termination.
9. Termination
9.1 By Client
You may cancel services at any time.
However:
Fees already paid are non-refundable
Outstanding balances remain due
9.2 By Company
We may suspend or terminate services immediately if:
Terms are violated
Payments are overdue
Use creates legal, security, or operational risk
Termination may occur without prior notice.
10. Disclaimer of Warranties
Services are provided “AS IS” and “AS AVAILABLE.”
We do not guarantee:
AI accuracy or completeness
Continuous uptime
Business results or profitability
Error-free operation
Use of the services is at your own risk.
11. Limitation of Liability
To the fullest extent permitted by law:
Flow Theory shall not be liable for:
Lost profits
Business interruption
Data loss
Indirect or consequential damages
Decisions made using AI outputs
Our total liability for any claim is limited to:
The amount you paid to Flow Theory in the previous 1 month(s).
12. Indemnification
You agree to defend and hold Flow Theory harmless from any claims, damages, or liabilities arising from:
Your misuse of services
Your content or data
Your business activities
Your reliance on AI-generated outputs
13. Governing Law
These Terms are governed by the laws of:
State of Connecticut, United States
without regard to conflict-of-law principles.
14. Dispute Resolution & Class Action Waiver
14.1 Mandatory Arbitration
Any dispute shall be resolved through binding arbitration, not court litigation, except for small claims or injunctive relief.
Arbitration will occur in Connecticut.
14.2 Class Action Waiver
You agree that:
Claims may only be brought individually
You waive any right to participate in class actions or group lawsuits
This clause survives termination.
15. Force Majeure
We are not liable for delays or failures caused by events outside our control, including:
Internet outages
infrastructure failures
cyberattacks
natural disasters
government actions
16. Changes to Terms
We may update these Terms at any time.
Continued use of services after updates constitutes acceptance.
